A large share of Gulf private wealth sits with first- and second-generation families whose operating businesses are maturing and whose liquidity events are arriving now.

That capital has been under-served. Private banks distribute product. Boutique advisers lack institutional underwriting. Global houses treat the Gulf as a distribution channel rather than a decision centre. Veraxis Capital was formed to close that gap — with regional decision authority, institutional process, and a fee model that removes the conflict at its source.

We are headquartered in the DIFC, operating under an independent common-law framework and an independent regulator, with global execution partners rather than global gatekeepers.

Our group

Three firms. One standard. Separate balance sheets.

Veraxis Capital Limited is an independent member firm of Axys Group Holdings Limited, alongside its sister companies Axys Capital Ltd in the DIFC and Star Associate Finance Company Limited in India. Each firm is separately incorporated, separately capitalised and separately regulated, with its own board, its own permissions and its own client agreements.

Where Axys Capital is built around public markets, institutional mandates and discretionary portfolios, Veraxis is built around the private side of the balance sheet. Star Associate Finance carries the same public-markets mandate as Axys Capital inside India, domestically regulated and serving the group’s India corridor. The mandates are deliberately non-overlapping. Where the member firms co-operate, they do so under written intra-group agreements on arm’s-length terms, disclosed as related-party arrangements.

Approved usage: “Veraxis Capital — an Axys Group company.” Constructions implying a single legal entity, shared licence or cross-guarantee are not permitted.

Common ultimate ownership does not create common liability. Each member firm contracts in its own name, holds its own permissions in its own jurisdiction, and is responsible only for its own obligations. Star Associate Finance Company Limited is licensed to operate in India and does not carry, and is not covered by, the DFSA permissions held by Veraxis Capital Limited or Axys Capital Ltd.

Governance

Control functions that can say no.

Veraxis operates a three-lines-of-defence model. Compliance and Risk are independent of revenue generation and report directly to the Chair of the Audit & Risk Committee.

Full corporate disclosure

  • The roles of Chair and Chief Executive Officer are separate and held by different people.
  • The Board holds a majority of non-executive directors, of whom at least two are independent.
  • All Board committees are chaired by non-executive directors.
  • Compliance and Risk hold an unrestricted direct reporting line to the Chair of the Audit & Risk Committee.
  • No individual may approve their own transaction, valuation, expense or remuneration.
  • Investment Committee decisions require a documented written memorandum and are minuted.
